Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") form a binding agreement between you and Givum ("Givum", "we", "us"). By creating an account or using any part of the Givum service (the "Service"), you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old, legally able to enter into contracts, and located in a jurisdiction where the Service is available. By using the Service you represent that the information you provide is accurate and that you are authorized to act on behalf of any business you list.

3. Account and Security

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose security or compliance risk.

4. What Givum Is and Is Not

Givum provides funding intelligence software, education, and matchmaking with independent consultants and funding partners. Givum is not a bank, lender, broker-dealer, investment advisor, credit repair organization, or law or tax firm. The Givum Funding Score is an informational estimate, not a credit bureau score, lender decision, or guarantee of funding.

5. Your Content and Consents

You retain ownership of information you submit ("Your Content"). You grant Givum a worldwide, non-exclusive, royalty-free license to host, process, display, and transmit Your Content as needed to operate, secure, and improve the Service and to deliver outputs you request, including sharing with consultants and funding partners you authorize.

By creating an account you affirm the consents you checked at signup, including agreement to these Terms and our Privacy Policy. Marketing consent is optional and can be withdrawn at any time.

6. Acceptable Use

• No unlawful, fraudulent, or misleading use of the Service.
• No submission of another person's information without authority.
• No scraping, reverse engineering, or interfering with the Service or its infrastructure.
• No uploading of malware, illegal content, or material that infringes third-party rights.

7. Fees

Some features may be offered free of charge; others may be paid. Pricing, billing terms, and refund policy for any paid features will be presented at purchase and are incorporated into these Terms by reference.

8. Third-Party Partners

Funding, credit, and related services may be provided by independent third parties. Givum is not a party to and is not responsible for the agreements, products, decisions, or conduct of those partners. Review their terms and disclosures directly before engaging them.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY ESTIMATE OR RECOMMENDATION WILL RESULT IN APPROVAL OR FUNDING.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GIVUM AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL ARISING FROM YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS, WHICHEVER IS GREATER.

11. Indemnification

You will defend, indemnify, and hold harmless Givum and its affiliates from claims arising out of your use of the Service, Your Content, or your violation of these Terms or applicable law.

12. Termination

You may stop using the Service at any time and request account deletion. We may suspend or terminate your access for breach, suspected fraud, security risk, or as required by law. Sections that by their nature should survive termination will survive.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-laws rules. Disputes will be resolved exclusively in the state or federal courts located in Travis County, Texas, and you and Givum consent to personal jurisdiction there. Either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights.

14. Changes

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice. Continued use after changes take effect constitutes acceptance.
